1. Introduction
Welcome to Adcom Technologies. These Terms and Conditions ("Terms") govern your use of our website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.
Adcom Technologies ("we," "us," or "our") provides website development, digital marketing, and related technology services to businesses and individuals ("clients," "you," or "your"). These Terms constitute a legally binding agreement between you and Adcom Technologies.
2. Services Provided
Adcom Technologies offers a range of digital services including but not limited to:
- Website Development (Static and Dynamic)
- UI/UX Design Services
- Digital Marketing and SEO
- Social Media Marketing
- E-Commerce Solutions
- Website Maintenance and Support
- Brand Strategy and Content Marketing
The specific scope of services will be defined in individual project agreements, proposals, or contracts between Adcom Technologies and the client.
3. Service Agreement and Engagement
3.1 Project Proposal
All projects begin with a detailed proposal outlining the scope of work, deliverables, timeline, and pricing. The proposal becomes binding once accepted by the client through written confirmation or payment of the initial deposit.
3.2 Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information required for project completion
- Timely provision of content, images, and materials needed for the project
- Timely feedback and approvals at designated project milestones
- Ensuring all provided materials do not infringe on third-party rights
- Payment according to the agreed schedule
3.3 Project Timeline
Project timelines are estimates based on the scope of work and client cooperation. Delays caused by late feedback, content provision, or scope changes may extend the project timeline accordingly.
4. Payment Terms
4.1 Pricing and Quotes
All pricing is provided in Indian Rupees (INR) unless otherwise specified. Quotes are valid for 30 days from the date of issue. Prices may be subject to change for projects not initiated within this period.
4.2 Payment Schedule
Standard payment terms include:
- Deposit: 50% advance payment before project commencement
- Milestone Payments: As defined in the project agreement
- Final Payment: Balance due before final delivery or launch
4.3 Payment Methods
We accept payments via bank transfer, UPI, credit/debit cards, and other mutually agreed payment methods. All payment processing fees are the responsibility of the client.
4.4 Late Payments
Invoices are due within 7 days of issuance unless otherwise specified. Late payments may result in project suspension and may incur additional charges. We reserve the right to charge interest on overdue payments.
5. Intellectual Property Rights
5.1 Client Content
Clients retain all rights to content, images, and materials they provide. By providing these materials, clients grant us a license to use them for the purpose of delivering the agreed services.
5.2 Deliverables
Upon full payment, clients receive ownership of the final deliverables specifically created for their project. This includes custom designs, code, and content created by Adcom Technologies.
5.3 Third-Party Components
Projects may include third-party components, libraries, or frameworks that are subject to their own licenses. Clients must comply with all applicable third-party licenses.
5.4 Portfolio Rights
Unless otherwise agreed in writing, we reserve the right to display completed projects in our portfolio and marketing materials for promotional purposes.
6. Warranties and Limitations
6.1 Service Warranty
We warrant that services will be performed with reasonable care and skill. We will make reasonable efforts to correct any defects in deliverables within 30 days of delivery at no additional cost.
6.2 No Guarantee of Results
While we strive for excellence, we cannot guarantee specific results from marketing campaigns, SEO services, or website performance. Results depend on various factors beyond our control, including market conditions, competition, and client implementation.
6.3 Third-Party Services
We are not responsible for the performance, availability, or policies of third-party services, platforms, or tools used in delivering our services.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement. This includes business strategies, technical information, and any other non-public information.
Confidential information does not include information that: (a) is or becomes publicly available without breach of this agreement, (b) was known prior to disclosure, or (c) is independently developed.
8. Termination
8.1 Termination by Client
Clients may terminate the agreement with 15 days written notice. In case of termination, clients are responsible for payment of all work completed up to the termination date, plus any non-refundable costs incurred.
8.2 Termination by Adcom Technologies
We reserve the right to terminate the agreement if: (a) client breaches payment terms, (b) client fails to provide necessary materials or feedback, or (c) client engages in abusive or unprofessional conduct.
9. Limitation of Liability
To the maximum extent permitted by law, Adcom Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.
10. Indemnification
Clients agree to indemnify and hold harmless Adcom Technologies from any claims, damages, or expenses arising from: (a) client-provided content or materials, (b) client's use of deliverables, or (c) client's breach of these Terms.
11. Changes and Modifications
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
Project-specific terms in individual agreements take precedence over these general Terms in case of any conflict.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.
13. Miscellaneous
13.1 Entire Agreement
These Terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
13.3 No Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
